DIONYSIAS LLC AFFILIATE AGREEMENT

Company: Dionysias LLC (“Company,” “we,” “us,” or “our”)
Affiliate: (“Affiliate,” “you,” or “your”)

1. Overview

This Affiliate Agreement (“Agreement”) governs participation in the Dionysias Affiliate Program (“Program”). By applying to and participating in the Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Enrollment

To become an Affiliate, you must submit an application through our official affiliate platform. Acceptance into the Program is at the sole discretion of Dionysias LLC. We may approve, decline, or remove any application or Affiliate at any time.

3. Affiliate Responsibilities

Represent Dionysias LLC products truthfully and professionally.
Use only approved links, graphics, and materials provided or authorized by the Company.
Comply with all applicable laws, including FTC disclosure requirements.
Avoid misleading claims or deceptive marketing practices.
Conduct yourself in a way that reflects the integrity and reputation of Dionysias LLC.

4. Commissions and Payments

4.1 Base Commission. Affiliates earn commissions on qualifying retail sales made through their unique affiliate link or code. Commissions are based on the net sale amount (excluding taxes, shipping, discounts, refunds, and chargebacks).

4.2 2026 Performance Commission Tiers. Your commission rate for a given month is determined by your prior month’s verified personal sales as recorded in the Company’s systems:

Notes: (a) Tiers are calculated monthly based on the immediately preceding calendar month’s verified personal sales. (b) Orders returned, cancelled, or charged back are deducted from sales totals and commission calculations. (c) The Company may audit and adjust reported sales to ensure accuracy.

4.3 Payout Schedule.

Payout Schedule

Commissions are processed daily
Once an affiliate’s commission balance reaches $25 or more, payment will be issued the following day
Commission balances under $25 will roll over and be paid on or about the 1st of the following month

Payment Method

All commission payments are issued via PayPal Mass Pay to the email address on file
Affiliates are responsible for maintaining accurate payment information

Adjustments & Eligibility

Commissions are earned on completed, non-refunded orders only
Any refunds, chargebacks, cancellations, or fraudulent activity will result in commission adjustments
Dionysias reserves the right to hold or adjust payments to account for these situations prior to payout

Additional Terms

Commission balances must meet the minimum payout threshold of $25 for daily processing
Any remaining unpaid balance will be included in the monthly payout cycle
Dionysias reserves the right to modify the payout schedule or threshold at any time with notice to affiliates

5. Activity and Eligibility Requirements

New affiliates must have at least one order within 90 days of joining the Program to remain active.
All affiliates must have at least one order every six (6) months to remain active.
Failure to meet these requirements may result in inactive status, loss of commission eligibility, and removal from the Program at the Company’s discretion.
Customers are considered active if they have placed an order within the last 180 days. If a customer has not ordered within that timeframe, they are considered a returning customer and may choose to shop through the Insider program.

The Company reserves the right to adjust activity or sales requirements as the Program evolves. Notice will be provided through the affiliate portal or by email.

6. Prohibited Conduct

Posting on coupon or discount sites without prior authorization.
Engaging in spam, deceptive marketing, or misleading advertising.
Using paid ads or search bidding on the Company’s name, trademarks, or product titles.
Offering unapproved discounts or incentives that undercut official Company pricing.
Impersonating Dionysias LLC, its staff, or other affiliates, or presenting yourself as an employee or agent of the Company.

Violations may result in immediate termination and forfeiture of unpaid commissions.

7. Term and Termination

This Agreement remains effective until terminated by either party. Either party may terminate at any time, with or without cause, by written notice. The Company may terminate immediately for breach or behavior detrimental to the brand. Upon termination, all affiliate links and brand materials must be discontinued.

8. Intellectual Property

All product names, logos, and content remain the property of Dionysias LLC. Affiliates are granted a limited, non-exclusive, revocable license to use approved materials solely for Program promotion.

9. Independent Contractor

Affiliates are independent contractors. Nothing in this Agreement creates an employment, agency, or joint venture relationship. Affiliates are responsible for their own taxes and compliance obligations.

10. Limitation of Liability

Dionysias LLC will not be liable for indirect, incidental, or consequential damages arising from participation in the Program. Total liability shall not exceed the total commissions paid or payable to the Affiliate under this Agreement.

11. Modifications

The Company may modify this Agreement, commission rates, or Program policies at any time. Notice will be provided via the affiliate portal or email. Continued participation constitutes acceptance of modifications.

12. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles.

13. Entire Agreement

This Agreement represents the entire understanding between the parties regarding the Affiliate Program and supersedes all prior agreements or representations.
